1. Agreement to Terms
These Terms of Service (“Terms”) constitute a binding agreement between you, or the entity you represent (“you”, “Customer”), and DutyFlow (“DutyFlow”, “we”, “us”) governing your access to and use of the DutyFlow website, web application, and API (the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service. If you accept on behalf of a company, you represent that you have authority to bind that company.
2. Definitions
- “Service” means the DutyFlow duty and import-tax calculation platform, web app, and API.
- “Account” means the credentialed access you create to use the Service.
- “API Key” means the secret token used to authenticate API requests.
- “HTS Code” means a Harmonized Tariff Schedule classification code.
- “Customer Data” means data you submit to the Service, such as HTS codes, product values, and shipment details.
- “Output” means the duty, tax, and landed-cost estimates the Service returns.
3. Description of Service
DutyFlow provides software that estimates customs duties (including US HTS classifications and MFN, GSP, and FTA tariff treatments), VAT/GST, and other import taxes based on the parameters you supply and on publicly available tariff data. The Service is offered through a web interface and a REST API for integration into your own systems.
4. Registration & Accounts
- You must provide accurate, current, and complete information when registering.
- You are responsible for safeguarding your credentials and API Keys, and for all activity under your Account.
- You must notify us promptly of any unauthorized use or suspected security breach.
- You must be at least 18 years old and legally capable of entering into this agreement.
- API Keys may not be shared, resold, or sublicensed without our prior written consent.
5. Acceptable Use Policy
You agree that you will not, and will not permit others to:
- Use the Service in violation of any applicable law, sanctions, or export-control regulation.
- Exceed the rate limits or call quotas of your plan, or circumvent usage metering.
- Scrape, bulk-extract, resell, or redistribute the Output as a competing dataset or service.
- Reverse engineer, decompile, or attempt to derive the source code of the Service.
- Introduce malware, interfere with the Service’s integrity, or attempt unauthorized access.
- Use the Service to build a directly competing duty-calculation product.
We may suspend or terminate access for violations of this policy.
6. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by DutyFlow and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and its Output for your internal business purposes during your subscription term.
You retain all rights to your Customer Data. You grant us a limited license to process Customer Data solely to provide and improve the Service. Underlying tariff data is sourced from public government publications (see Section 7) and is not proprietary to DutyFlow; our compilation, structuring, and software are, however, protected.
7. Data Sources & Accuracy
DutyFlow’s tariff data is compiled from publicly available official sources, including the United States International Trade Commission (USITC) Harmonized Tariff Schedule, the Office of the United States Trade Representative (USTR), U.S. Customs and Border Protection (CBP), the Federal Register, and WTO MFN tariff data.
We strive to keep this data current and update it regularly, but tariff schedules change frequently and we do not warrant that the data is complete, error-free, or up to date at the moment of any given query. The authoritative source always remains the relevant government authority.
8. No Customs or Legal Advice
The Output of the Service is provided for informational and estimation purposes only. It is not official customs advice, a binding ruling, or legal advice, and must not be relied upon as the sole basis for customs declarations, tariff classification, or import/export decisions.
Final classification and duty liability are determined by the competent customs authorities. You are solely responsible for verifying classifications and complying with all applicable customs and tax obligations. We recommend consulting a licensed customs broker or qualified professional for business-critical decisions.
9. Limitation of Liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
To the maximum extent permitted by law, DutyFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service or reliance on its Output. Our aggregate liability for any claim shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Fees & Subscriptions
- Paid plans are billed in advance on a recurring (monthly or annual) basis through our payment processor, Stripe.
- Fees are stated exclusive of applicable taxes, which may be added where required.
- Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period.
- Except where required by law, fees are non-refundable. We may change pricing with at least 30 days’ notice, effective at your next renewal.
- If a payment fails, we may suspend or downgrade your Account until the balance is settled.
11. Term & Termination
These Terms remain in effect while you use the Service. You may terminate at any time by cancelling your subscription and closing your Account. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal or security risk.
Upon termination, your license to use the Service ends. We will delete or anonymize your personal data in accordance with our Privacy Policy, subject to legal retention requirements. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
12. Changes to These Terms
We may update these Terms from time to time. When changes are material, we will update the “Last updated” date and notify you by email or through the Service before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of France and applicable European Union law, without regard to conflict-of-law principles. Subject to any mandatory consumer protection rules, the courts of France shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Where required, the parties will first attempt to resolve disputes amicably before litigation.
